3.7. If a quotation is based on incorrect or incomplete information provided by the Client, Villa Rosa Llíber may adjust the price and/or execution of the services to reflect the actual circumstances.

3.8. Quotations apply solely to the relevant assignment and do not automatically entitle the Client to the same price or conditions for future assignments.

Article 4 – Formation and Confirmation of the Booking

4.1. An Agreement is formed once the Client has accepted the quotation or proposal in writing and Villa Rosa Llíber has confirmed the assignment.

4.2. The event date will only be definitively reserved for the Client once the required deposit has been received by Villa Rosa Llíber.

4.3. Until the deposit has been received, the requested date remains available for other enquiries. Villa Rosa Llíber is not obliged to hold a date exclusively for the Client until the deposit has been received.

4.4. If several parties are interested in the same date, Villa Rosa Llíber may offer the date to another Client for as long as the booking has not been definitively confirmed by receipt of the deposit.

Article 5 – Deposit and Payment

5.1. A deposit of 30% of the agreed total amount is payable in order to definitively reserve a date, unless otherwise agreed in writing.

5.2. The deposit will be deducted from the final invoice amount.

5.3. The remaining balance must be paid no later than 14 days before the date of performance, unless otherwise agreed in writing.

5.4. Any additional costs arising after the final invoice, for example due to additional guests, additional hours, additional staff, additional rental materials, parking costs or other changes requested by the Client, will be invoiced separately.

5.5. If a payment is not received on time, Villa Rosa Llíber may, to the extent permitted by law, suspend performance of the Agreement and/or cancel the booking.

7.5. If a guest has a severe or life-threatening allergy, the Client must explicitly notify Villa Rosa Llíber in writing in advance. Villa Rosa Llíber will then assess whether and under what conditions the relevant meal can be provided.

7.6. Villa Rosa Llíber may refuse a request relating to a dietary requirement, allergy or intolerance if, in its reasonable opinion, food safety cannot be sufficiently guaranteed.

Article 8 – Number of Guests

8.1. The number of guests is an essential part of the quotation and pricing calculation.

8.2. The Client must inform Villa Rosa Llíber of any changes in the number of guests as soon as possible.

8.3. The final number of guests must be confirmed in writing no later than 14 days before the event.

8.4. A reduction in the number of guests after this deadline does not automatically result in a reduction of the agreed amount. By that time, Villa Rosa Llíber may already have purchased or reserved ingredients, staff, materials and other resources.

8.5. An increase in the number of guests is only possible with the approval of Villa Rosa Llíber and is subject to the availability of ingredients, staff, materials, space and other practical circumstances.

8.6. Additional guests present on the day of the event without prior confirmation will, where reasonably possible, be charged additionally.

10.1. The timings stated in the quotation are based on the information available when the quotation was prepared.

10.2. The agreed start and end times must be respected by the Client.

10.3. Additional work, waiting time, delays or an extension of the agreed service period that are not attributable to Villa Rosa Llíber may be charged additionally at the rates agreed in advance or the rates applicable at that time.

10.4. Taking into account the nature and size of the event, Villa Rosa Llíber determines how many staff members are required for proper and safe execution.

10.5. The Client may not replace Villa Rosa Llíber staff with guests, friends or other persons without prior written approval if this affects the agreed services or staffing requirements.

10.6. If the Client takes over tasks or responsibilities that form part of the services provided by Villa Rosa Llíber, this does not automatically entitle the Client to a discount.

Article 11 – Tableware, Materials and Rentals

11.1. Materials, tableware, cutlery, tables, chairs, decorations, equipment and other non-consumable goods supplied or rented by Villa Rosa Llíber remain the property of Villa Rosa Llíber or the relevant rental company.

Article 13 – Cancellation by the Client

13.1. Cancellation must be made in writing. The date on which Villa Rosa Llíber receives the written cancellation shall be considered the cancellation date.

13.2. In the event of cancellation, Villa Rosa Llíber takes into account the capacity reserved, the timing of the cancellation and costs already incurred or which cannot be recovered.

13.3. Unless otherwise agreed in writing, the following cancellation charges shall apply to consumers and business Clients, to the extent permitted by law:

More than 30 days before the date of performance
30% of the agreed total amount.

7 days or less before the date of performance
100% of the agreed total amount.

13.4. Costs already incurred by Villa Rosa Llíber or third parties which cannot be recovered may be charged additionally to the extent that they are not already covered by the applicable cancellation charge and are legally permitted. These may include, among other things, specially purchased ingredients, staff, rental materials, external suppliers, transport costs and other demonstrable costs.

13.5. Any amounts already paid will be offset against the cancellation charge and costs due under this Article.

13.6. If the actual costs incurred and demonstrable are lower than the applicable cancellation charge, the cancellation charge shall remain the agreed basis, to the extent legally permitted.

13.7. If mandatory consumer law requires a lower charge or gives the Consumer a right to a refund, that statutory right shall prevail.

13.8. If cancellation occurs due to a circumstance that qualifies under applicable mandatory law as force majeure or another statutory ground for termination, the financial consequences shall be dealt with in accordance with the applicable legislation.

Article 14 – Postponement or Change of Date

14.1. A request to move the event to another date shall be regarded as a change to the Agreement and is subject to the availability of Villa Rosa Llíber.

14.2. A change of date shall only become final once Villa Rosa Llíber has confirmed it in writing.

14.3. Costs already incurred and which cannot be recovered remain the responsibility of the Client, to the extent permitted by law.

14.4. If the new date results in different rates, staffing costs, rental costs, travel costs or other costs, the difference may be charged.

14.5. If no suitable alternative date can be agreed, the request will be treated as a cancellation in accordance with Article 13, to the extent permitted by law.

15.4. If an event cannot take place due to force majeure, the parties shall first attempt to agree on an alternative date or another reasonable solution.
